APN Terms of Service

1. Term and Termination

The term of the service shall take effect on the sign up date and, will continue on a month-to-month basis until terminated by either parties in writing.

2. Orders and Changes

The customer will initiate the service by issuing an order. In the event of any conflict between the terms of the service and any pre-printed terms and conditions on the customer’ purchase order, supplier’s quotation, supplier’s order form, acknowledgement, invoice, or similar document, the terms of service shall take precedence. Changes to orders must be done by sending an email to apn@connect-mobile.co.za.

3. Installation and Testing

The customer is responsible for supplying devices for SIM cards. The SIM cards (product) will be couriered to the customer, installation will be done by the customer. The supplier will take no responsibility for any loss or damage to property once it has left the supplier’s premises. The customer takes responsibility for implementation and testing.

4. Invoicing and Payments

Service charges shall commence on, and be invoiced no earlier than the sign up date. The supplier will invoice the customer monthly for the services to be provided in the following month. Billing is thus in advance, on a prepaid basis. The customer shall pay undisputed invoices within (five) 5 days from the date of invoice. Failure by the customer to make payment in advance will result in termination of services.

5. Indemnification

Neither Party shall be liable for any disruption, interruption, suspension, failure and breakdown of its system due to factors beyond its reasonable control. Each Party hereby agrees to indemnify and hold the other Party harmless from any and all costs, expenses, including reasonable outside attorneys’ fees, claims, suits and liability by third parties (collectively, “Claims”) that the other Party may suffer or incur by reason of the Party’s actual or alleged infringements or violations.

6. Warranties

Each Party represents and warrants to the other Party that;

  1. it is an entity validly existing under applicable laws and has all necessary right, title, license and authority to perform all its obligations hereunder;
  2. the person accepting the terms and conditions has full authority to do so;
  3. it shall at all times act in good faith towards the other for the duration of the service.

7. Reporting

The supplier shall maintain accurate and complete records relating to the services by way of a web-based management interface. Access will be granted to the customer to draw reports as required and to monitor usage on products that relate to the service.
